Safepay is a digital payment platform that allows users to send and receive funds electronically. Our Services include an escrow feature that holds funds until both parties to a transaction confirm satisfaction, offering enhanced security for peer-to-peer and business transactions.

You must be at least 18 years old and capable of entering into a legally binding agreement under applicable law to use the Services. By registering for or using our Services, you represent and warrant that you meet these eligibility requirements.

To use certain features of the Services, including sending and receiving funds, you must create an account with accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

When using our escrow feature:

• Funds sent are held in escrow by Safepay until both parties (buyer and seller) confirm the completion of the agreed-upon transaction.

• If a dispute arises, Safepay will initiate a resolution process (see Section 7).

• Funds will be released only upon mutual confirmation or resolution by Safepay's arbitration panel.

Safepay may charge transaction and service fees. All fees will be disclosed at the time of transaction. By using the Services, you agree to pay all applicable fees.

You agree not to use the Services for:

• Illegal or fraudulent activities

• Transactions involving prohibited goods or services

• Money laundering or funding of terrorism

• Any activity that violates laws, regulations, or these Terms

Safepay reserves the right to suspend or terminate accounts involved in such activities.

If a dispute arises between parties to a transaction (e.g., buyer and seller), Safepay will act as a neutral arbitrator. By using the Services, you agree that any and all disputes related to transactions conducted through Safepay shall be resolved solely and exclusively through binding arbitration administered by Safepay.

• The decision of Safepay shall be final and binding on all parties.

• There is no right to appeal or pursue legal action outside the arbitration framework provided by Safepay.

• Arbitration may include review of submitted evidence, transaction records, communication history, and any other relevant materials.

Users are responsible for:

• Verifying recipient identity before sending funds

• Confirming all transaction details before submission

• Reporting any unauthorized or suspicious activity immediately

We collect and use your information in accordance with our Privacy Policy, which is incorporated by reference into these Terms.

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, including breach of these Terms or suspected fraudulent activity.

To the fullest extent permitted by law, Safepay shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.

We may modify these Terms at any time by posting a revised version. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
